iSpecimen Prices Public Offering to Raise Approximately $4 Million

iSpecimen Inc. (NASDAQ: ISPC), an online marketplace connecting medical researchers with healthcare providers that supply human biospecimens, has priced an underwritten public offering of 5,714,283 shares of common stock at $0.70 per share. The offering is expected to generate approximately $4 million in gross proceeds before underwriting discounts and other offering-related expenses.

The offering is being conducted on a firm commitment basis and includes the option for investors to purchase pre-funded warrants in lieu of common shares where applicable. The transaction is expected to close on July 25, 2025, subject to customary closing conditions. WestPark Capital, Inc. is serving as the sole book-runner for the offering.

According to the company, approximately $1.5 million of the net proceeds will be used for marketing and advertising services provided by IR Agency LLC, while $1 million will fund an initial milestone payment under an agreement with Sales Stack Solutions Corp. The remaining proceeds are expected to support working capital needs and other general corporate purposes.

The securities are being offered pursuant to a registration statement on Form S-1 that was declared effective by the U.S. Securities and Exchange Commission on July 23, 2025.

iSpecimen operates a technology-driven marketplace that enables researchers from pharmaceutical companies, biotechnology firms, academic institutions, and other organizations to locate and obtain human biospecimens from a network of hospitals, laboratories, blood centers, and biobanks. The platform is designed to streamline specimen sourcing for medical research and diagnostic development by connecting buyers with qualified specimen providers.

Public offerings are commonly used by growth-stage companies to strengthen their balance sheets, fund expansion initiatives, and support ongoing operations. While issuing new shares can dilute existing shareholders, the additional capital may help companies invest in commercialization efforts, product development, marketing, or operational growth.
